Terms & Conditions

Last updated: 29 May 2026

1. Who this agreement is with

FlowSpec is operated by Flow Through Logic Pty Ltd (ABN 15 697 017 842, ACN 697 017 842), based in Canberra, ACT ("we", "us", "our"). These Terms and Conditions ("Terms") are the agreement between you and us for your use of FlowSpec ("the Service").

When you create an account or use the Service, you agree to these Terms and to our Privacy Policy.

2. What FlowSpec does, and how to use it well

FlowSpec turns what you say or type about a job into a priced quote and sends it to Xero. It uses artificial intelligence (through OpenAI) to transcribe audio and structure the quote.

Review before you send. AI works on probability, so it can mishear a word, misread a material, or get a number wrong. Treat every quote as a draft and check it for accuracy before you send it to a client or rely on it.

FlowSpec is an administrative tool that speeds up your quoting and sits alongside your own judgement as a tradesperson. Your judgement stays the final word. To the extent the law allows, and subject to the consumer guarantees in clause 8, responsibility for a quote you send without checking it rests with you.

3. Your account and acceptable use

Keep your login to yourself, and treat activity under your account as your own. One account is for one business.

Use the Service lawfully and as intended. The following put an account at risk of suspension or termination under clause 9:

  • reverse-engineering the Service or working around rate limits
  • injecting malicious prompts or interfering with the AI
  • using the Service for unlawful purposes
  • sharing a login or reselling access
  • opening extra accounts to stretch a free trial

4. Subscriptions, trial and billing

Subscriptions: core quoting features run on a paid subscription, handled by Stripe. Fees are charged in advance for each billing period of the plan you choose.

Prices and receipts: prices are in Australian Dollars. Flow Through Logic Pty Ltd is not registered for GST, so no GST is added. Stripe issues a receipt for each successful charge.

Free trial: FlowSpec includes one free trial. It ends at the first of two points: when you have sent 5 quotes to Xero, or 7 days after you sign up. Quotes that reach Xero count toward the 5. Drafts you keep in the app stay free of the count. The trial runs once per account. A subscription keeps the Service running once the trial ends.

Your consumer rights: your rights under the Australian Consumer Law stay intact. Nothing in these Terms limits any right you have to a refund, repair or replacement for a major failure with the Service.

5. Your data and your clients' data

You keep ownership of what you put into FlowSpec: your job notes, quotes, client details and price lists. You give us the permission we need to host and process that information so the Service works, as described in our Privacy Policy.

Quotes often include other people's details, such as a client's name, address, email or phone number. When you enter those details, you confirm you have the right to share them with us and to have them processed through the Service, including by the providers listed in our Privacy Policy. To the extent the law allows, you agree to cover us for a claim that arises because that right was missing.

6. Who owns FlowSpec

We own the Service: the software, the design and the FlowSpec brand, apart from your data. While your account is active and these Terms are met, you have a personal right to use the Service. The FlowSpec name and logo stay ours.

7. Availability and the services we rely on

We work to keep FlowSpec available and dependable. The Service is provided "as is" and "as available", except for the consumer guarantees in clause 8, which always apply.

Outside services: FlowSpec connects to Xero, OpenAI, Stripe, Cloudflare and Railway. Their uptime sits outside our control, and we offer no service-level guarantee for them. To the extent the law allows, downtime caused by an outside provider rests with that provider.

Our own systems: if a serious, extended fault starts inside FlowSpec's own infrastructure, we may offer a credit of up to one month of your current plan. That choice rests with us.

8. Liability

This clause sets the limits of our legal responsibility to you. Please read it closely.

Your consumer guarantees: the Australian Consumer Law gives you guarantees that cannot be excluded. Nothing in these Terms removes or limits those guarantees. Where the law lets us limit our liability for a failure to meet a consumer guarantee, and the Service is one acquired for your business rather than for personal or household use, our liability is limited, at our choice, to supplying the Service again or paying the cost of having it supplied again.

Other liability: for any other liability connected with the Service or these Terms, our total liability is capped at the greater of the fees you paid us in the 12 months before the event, or AUD $100.

What stays with us, and what does not: we remain responsible for liability the law forbids us to exclude, and for our own fraud or wilful misconduct. Beyond that, and to the extent the law allows, our responsibility stops short of indirect or consequential loss, lost revenue, lost profit, and loss from quotes sent without review.

9. Suspension and termination

You can cancel your subscription at any time through Stripe or by contacting us. Access continues to the end of the period you have paid for.

We may suspend or end an account for a serious breach of these Terms, such as the activities in clause 3, and for a serious breach we may act straight away. For a lesser issue, we give you notice and a fair chance to put it right first.

If we end your account for a reason other than your breach, we refund the unused part of any fee paid in advance. Where we end it for a serious breach by you, fees already paid stay with us, and your consumer guarantee rights remain.

10. Changes to these Terms

We may update these Terms as the Service grows. For a significant change, we tell you by email or in the app before it takes effect, and you are free to cancel if the change suits you less. Continuing to use the Service after a change takes effect means you accept the updated Terms.

11. If part of these Terms does not hold

If a court or regulator finds any part of these Terms invalid or unenforceable, that part is read down or removed, and the rest of the Terms stay in force.

12. Governing law

These Terms are governed by the laws of the Australian Capital Territory, Australia. You and we submit to the courts of the ACT for any dispute under these Terms.

13. Contact
